What is a Resident Agent in Australia?
A resident agent (also known as an ASIC registered agent) is an individual or company/entity that helps a company meet their statutory requirements for registration, ongoing compliance, and deregistration by lodging documents, receiving official notices, and managing company records on behalf of the company. Resident agents are also responsible for notifying ASIC of any changes to a company’s details (i.e., company name, registered address, directors, etc.).
Individual Agent
If an individual, must meet the following qualifications:
- be at least 18 years old
- ordinarily residing in Australia, preferably in the state where the business is registered
- must be recognized by ASIC as a registered agent and have their own resident agent number
- must carry on business under their own name
- have an Australian Business Number (ABN)
- possess none of the disqualifications provided under the ASIC Registered Agent Terms and Conditions
Company Agent
If a company or entity, must meet the following eligibility requirements:
- must be currently registered with ASIC with good standing and a registered business address
- must be recognised by ASIC as a registered agent and have their own resident agent number
- must have an Australian Business Number (ABN)
- must nominate an individual person to act as the resident agent, recognized by ASIC as the “responsible person” who will be held accountable for the performance of the company providing the service; this person must be registered with ASIC as an officeholder (director or secretary) of the company agent
- possess none of the disqualifications stipulated in the Commonwealth Corporations Act 2001
No registered companies are allowed to act as their own resident agents. They are mandated by law to appoint a third party to fulfil the role.
